Transactions
In business transactions, we work with our clients through all stages of the deal to provide them with insightful legal counsel and strategic business advice. This helps our clients understand the risks and opportunities posed by each transaction that comes their way. At the earliest stages of a transaction we assist our clients evaluate whether and how the transaction fits into their company’s strategic business plan. If it does, we work with our clients to scope out the major provisions of the transaction and prepare a letter of intent which serves as a starting point for the parties’ negotiations. As the transaction proceeds forward, we assist our clients with the due diligence process to help them uncover the potential pitfalls and foresee the possibilities of the transaction as early in the deal as possible. As the details of the transaction are discussed among the parties, we work closely with our clients to negotiate the terms and conditions of the deal, and memorialize them in definitive transaction documents. Our extensive experience with business transactions has taught us that “time is the enemy of all deals”. Our attorneys know how to manage a transaction to closure quickly and efficiently to ensure the deal closes on schedule, and our clients’ valuable time and resources are not wasted. Throughout the entire process we focus all of our efforts on our clients’ specific needs to ensure his or her business objectives are accomplished in the transaction.
Litigation
In litigation matters, we provide our clients with passionate and reasoned advocacy in the pursuit of practical legal solutions to thorny business problems. We don’t shoot first and ask questions later. That wastes clients’ valuable time and money. We work with our clients to investigate the critical issues that may have led to the dispute in the first place. We counsel our clients on the legal, business and relationship issues that, if properly identified and discussed, could allow them to resolve the dispute without resorting to litigation. We work behind the scenes to help our clients negotiate a resolution of the dispute that accomplishes their goals and may allow them to preserve a strained, but otherwise valuable relationship. Our attorneys work diligently on behalf of our clients to avoid unnecessary litigation costs. In the event a matter cannot be resolved via negotiation, we provide our clients with skilled advocacy in both arbitration and litigation settings. Our attorneys take pride in preparing well researched and thoughtful pleadings that focus on the critical issues central to the client’s claims. We pursue efficient and effective discovery to identify and collect the documentary and testimonial evidence necessary to prevail on our client’s claims and defeat our adversaries’ defenses. We engage in skillful and efficient motions practice when necessary to resolve important legal and factual issues that arise before and after trial. Our attorneys employ polished oral advocacy and cross-examination skills at trial, complemented by the use of state-of-the-art technology, to effectively present our clients’ cases to judge and jury. We measure success by whether our clients accomplish their objectives through the litigation not whether we generate large fees for our firm.
Regulatory
In regulatory matters, we provide our clients keen legal and political insight to secure entitlements from, and resolve controversies with, federal, state and local government agencies. We demystify the opaque operations of government bureaucracies, interpret arcane regulatory requirements, and provide our clients with strategies to secure the permits, entitlements and other authorizations they seek from government agencies. We have particular expertise navigating the regulatory processes established to issue real estate development entitlements and environmental permits. We defend our clients in investigations conducted and enforcement actions brought by federal and state agencies.
